These terms govern your use of Naqd Flow (the Platform), a cloud service for point of sale, accounting and e-invoicing provided by [company legal name], commercial registration [—], address [national address] (we, us). By creating an account or using the Platform you accept these terms. If you sign up on behalf of a business, you confirm you are authorised to bind it.

1. Definitions

  • Business: the organisation that creates an account and subscribes to the Platform.
  • User: every person the Business adds to its account (owner, manager, cashier, staff).
  • Business Data: everything the Business or its Users enter into the Platform, or that its work creates there, such as products, invoices, customer and employee records.
  • Plan: the subscription level and the features and limits it includes.
  • Add-on: a feature or a higher limit bought with a Plan or later.

2. Account and access

  • Provide accurate information and keep it current. Keep passwords and PINs secret and do not share them.
  • The Business is responsible for its Users, the permissions it gives them, and everything done through its account.
  • Two-factor authentication is optional; we recommend it for owners and managers.
  • Tell us immediately if you suspect unauthorised access.

3. Free trial

  • A Business may start with a free trial (14 days unless stated otherwise at sign-up), with no payment details required.
  • If the trial ends without a subscription, the data is kept and the account becomes read-only until a plan is chosen.

4. Plans, add-ons and prices

  • Prices, features and limits are as shown on the website and the subscription page at the time of purchase.
  • VAT is added where it applies, and a tax invoice is issued for every payment.
  • Add-ons can be chosen when subscribing, upgrading or downgrading, and appear on the same invoice.
  • Add-ons can be reduced or cancelled at any time; the change takes effect from the next period unless stated otherwise.
  • We may change prices or plans in the future with at least [30] days' notice. A change never applies to a period already paid for.

5. Payment and renewal

  • Subscriptions are paid in advance for the chosen term (monthly, yearly or as offered).
  • A subscription renews at the end of each term with a new invoice, unless cancelled before the term ends.
  • Online payments are processed by licensed payment providers; we do not store your card details.
  • If an invoice is not paid when the term ends, a [7]-day grace period applies, after which the account becomes read-only until payment. Data is not deleted for late payment within the period in section 10.

6. Upgrades, downgrades and cancellation

  • Upgrade: takes effect immediately; the value of the time left on the current plan is deducted from the new plan's invoice.
  • Downgrade: takes effect at the end of the paid term or immediately, as shown when you request it. What the Business uses (branches, users, tills…) must fit the new plan's limits.
  • Cancellation: cancel any time from the subscription page; the subscription stays active until the end of the paid term.
  • Refunds: amounts paid for a term that has started are not refunded, except [your refund policy, e.g. within 7 days of the first payment if no real sale was made].

7. Acceptable use

You may not use the Platform to:

  • carry out any activity that breaks the laws of the Kingdom of Saudi Arabia, or sell prohibited goods or services;
  • issue fictitious invoices or tamper with tax or accounting records;
  • try to access other businesses' data, bypass security or disrupt the service;
  • send unsolicited messages through the Platform's channels (e-mail, WhatsApp);
  • resell or copy the Platform without our written agreement.

8. Business Data and ownership

  • Business Data belongs to the Business. We use it only to provide, support and improve the service, as set out in the Privacy Policy.
  • The owner can export the data at any time from "Data & backups", and ask for a complete copy.
  • For the Business's customers' and employees' data, the Business is responsible for collecting it lawfully; we process it on the Business's behalf and only to provide the service.
  • Our support team enters a Business's account only with its permission ("Support access"), and every action they take is logged.

9. E-invoicing and tax obligations

  • The Platform provides the tools to connect to ZATCA's Fatoora platform and to issue invoices that meet its requirements.
  • The Business alone is responsible for its tax data (VAT number, prices, tax rates), for onboarding its devices, filing its returns and paying its taxes.
  • The Business must keep its records for as long as the law requires. We recommend exporting a copy before cancelling.

10. End of subscription and data deletion

  • After a subscription ends or is cancelled, the data stays available to read and export for [90] days.
  • After that we may delete it permanently, without being bound to notify the owner beforehand. Exporting its data within that period is the Business's responsibility.
  • The owner may ask for permanent deletion earlier, or clear operating data from within the system with the dedicated permissions.
  • We keep what the law requires us to keep, such as the subscription invoices we issued to you.

11. Availability and support

  • We make reasonable efforts to keep the Platform available. It may pause for scheduled maintenance (announced in advance where possible) or for reasons beyond our control.
  • The Platform lets tills keep selling offline within the limits set in the Business's settings; sales are sent once the connection returns.
  • Support is available through tickets in the system and [published contact channels] during [working hours].

12. Intellectual property

  • The Platform, its design, logo, name and software are ours. Your subscription grants a non-exclusive, non-transferable right to use it for the subscription's term.
  • We may show the Platform's name and logo on the Business's pages, receipts and messages, unless the Business subscribes to the "Remove branding" feature.

13. Limitation of liability

  • The Platform is provided "as is". We are not liable for indirect or consequential losses or loss of profit.
  • We are not responsible for decisions the Business makes based on data it entered, nor for errors from incorrect entries or settings it chose.
  • In any case, our total liability does not exceed the amounts the Business paid us in the [twelve] months before the claim.

14. Suspension

We may suspend an account, or make it read-only, when:

  • an invoice remains unpaid after the grace period;
  • these terms or the law are breached;
  • there is a risk to the Platform's security or to other businesses.

We tell the owner why, and lift the suspension once the reason is gone.

15. Changes to these terms

We may update these terms. We give [14] days' notice of material changes by e-mail or in the system before they apply; continuing to use the Platform afterwards means you accept them.

16. Governing law

These terms are governed by the laws of the Kingdom of Saudi Arabia. The courts of [city] have jurisdiction over any dispute, after an attempt to settle it amicably.
